Overview

Patrick C. Diaz is an associate in the Corporate Practice Group in the firm's Washington, D.C. office.

Patrick represents private equity sponsors, their platform companies and private companies in leveraged buyouts, M&A transactions, and general corporate governance matters. For M&A transactions, his experience includes asset purchases, equity purchases, mergers, and carve-outs both on the buy-side and the sell-side. Patrick represents clients in the aerospace and defense, government services, technology, and healthcare industries.

Patrick also advises private equity portfolio companies with corporate governance matters on an ongoing basis.

Before joining Sheppard, Patrick worked in the technology industry at SAP and Tata Consultancy Services, where he led its AI practice on Microsoft’s Azure platform in North America.

Experience
  • Represented Arlington Capital Partners in its acquisition of Avenu Insights & Analytics from Mill Point Capital (2023) and represented Avenu in its (i) acquisition of Justice Systems and Columbia Ultimate Business Systems, providers of payment services to state and local governments, from Finvi (2024), (ii) merger with Intellectual Technology Inc., a leading provider of DMV software and services (2025), and (iii) acquisition of GovOS, a leading provider of tax and licensing software from Audax Private Equity (2025). Through this series of acquisitions, Arlington Capital Partners and Avenu formed Neumo, a new leader in integrated software and payments solutions for local, state, and federal governments.
  • Represented Precision Medicine Group in its (i) acquisition of Baseline Controls, an engineering services company serving the life sciences industry (2023), (ii) acquisition of Algorics, Inc., a leading provider of biostatistics, clinical data management and statistical programming for clinical trials, and its Indian affiliate (2023), (iii) divestiture of Project Farma, a leading life sciences consultancy to PerkinElmer (2025), and (iv) divestiture of a clinical sample and biomarker software company to a private equity buyer (2026).
  • Represented a software startup in the telecommunications compliance industry in its sale to a private equity fund (2026). 
  • Represented Vidterra, a cutting-edge intelligence, surveillance, and reconnaissance software and hardware provider, in its sale to NexTech Solutions (2026). 
  • Represented Systems Planning and Analysis, a portfolio company of Arlington Capital Partners, in its (i) acquisition of PRKK, a provider of consulting services to customers in defense, intelligence and critical civilian governmental agencies (2023) and (ii) acquisition of Group W Inc, a premier data science and defense analytics company (2025).
  • Represented Atlas Space Operations, a pioneer in Ground Software as a Service for satellite communications, in its sale to affiliates of York Space Systems (2025).
  • Represented COEX Partners, a TP ICAP company, in its acquisition of the credit business of Cambridge International Securities, a U.S. and U.K.-based independent fixed income broker-dealer (2025).
  • Represented Tex-Tech Industries, Inc., a portfolio company of Arlington Capital Partners, in its acquisition of Fiber Materials Inc., an industry leader in high-temperature materials and reinforced composites, from Spirit AeroSystems Holdings Inc. (NYSE: SPR) (2025).
  • Represented Arlington Capital Partners in connection with its sale of J&J Worldwide Services, a leading provider of facility management, operational support, and integrated asset management services for the Department of Defense and other components of the U.S. federal government, to CBRE Group Inc. (NYSE: CBRE) (2024).
  • Represented Leia, Inc. in its acquisition of Dimenco, a Dutch 3D display hardware startup (2023).
  • Represented DartPoints, a leading provider of colocation, cloud, and cybersecurity services for edge markets, in its acquisition of Venyu, Louisiana's premier data center infrastructure and cloud services provider from EATEL (2023).
