Overview

Nazia Khan represents underwriters and issuers in public and private corporate finance transactions. Her experience also encompasses public company mergers and acquisitions, including reverse mergers and de-SPACs.

Nazia has public and private corporate finance experience across a range of transactions including:

  • Initial public offerings (including SPAC IPOs)
  • Shelf offerings
  • Registered direct offerings
  • Private placements (including PIPEs)
  • Secondary market purchases
  • Other securities offerings

As co-chair of Sheppard’s Canada Desk, Nazia leads a team that provides comprehensive cross-border legal services to Canadian-based clients across a broad spectrum of industries. She has experience leading foreign issuers and investment banks in a range of public and private financings, including financings under the U.S.-Canada Multijurisdictional Disclosure System (MJDS), as well as Rule 144A and Regulation S offerings and other U.S.-foreign private placements.

Nazia also counsels U.S. and foreign issuers on corporate governance matters, including reporting obligations with respect to the Securities and Exchange Commission, the New York Stock Exchange, the Nasdaq Stock Market, FINRA and state securities commissions. Furthermore, she assists foreign issuers with securities quoted on the OTCQX and OTCQB with matters related to Principal American Liaisons.

Nazia represents issuers in various industries, including, but not limited to, life sciences, healthcare, oil and gas, mining, technology, artificial intelligence, cannabis, and food and beverage.

Nazia was recognized by Legal 500 as a leading lawyer in the Life Sciences sector for 2025.

  • Represented Newsmax Inc. (NYSE: NMAX), a television broadcaster and multi-platform content publisher, in its private offering of equity securities and initial public offering for gross proceeds of $300 million and listing on the New York Stock Exchange
  • Represented Legacy Education Inc. (NYSE American: LGCY), an education institution providing career-focused, post-secondary education services, in its initial public offering and listing on NYSE American
  • Represented Syra Health Corp. (Nasdaq: SYRA), a healthcare services company, in its initial public offering and listing on Nasdaq
  • Represented Immix Biopharma, Inc. (Nasdaq: IMMX), a clinical-stage biopharmaceutical company, in its initial public offering and listing on Nasdaq
  • Represented Tharimmune, Inc. (Nasdaq: THAR), a clinical-stage biopharmaceutical company, in its initial public offering and listing on Nasdaq
  • Represented Greenwich LifeSciences, Inc. (Nasdaq: GLSI), a clinical-stage biopharmaceutical company, in its initial public offering and listing on Nasdaq
  • Represented Hoth Therapeutics, Inc. (Nasdaq: HOTH), a clinical-stage biopharmaceutical company, in its initial public offering and listing on Nasdaq
  • Represented Immuron Limited (Nasdaq: IMRN), a now commercial and clinical-stage biopharmaceutical company, in its initial public offering and listing on Nasdaq
  • Represented Aridis Pharmaceuticals, Inc. (Nasdaq: ARDS), a now late-stage biopharmaceutical company, in its initial public offering and listing on Nasdaq
  • Represented underwriters in an initial public offering and listing on Nasdaq of an architectural design firm that intends to develop an AI-enabled tool to analyze architectural drawings for compliance with local building codes and regulations.
  • Represented underwriters in an initial public offering and listing on Nasdaq of an AI-driven visualization solutions company
  • Represented underwriters in an initial public offering and listing on Nasdaq of a company in the rideshare industry
  • Represented underwriters in an initial public offering of and listing on Nasdaq of a biotechnology company focused on early cancer screening and detection

  • Represented A.G.P./Alliance Global Partners in an initial public offering and listing on NYSE American of Ault Disruptive Technologies Corporation (NYSE American: ADRTU)
  • Represented A.G.P./Alliance Global Partners in an initial public offering and listing on Nasdaq of Digital Health Acquisition Corp. (Nasdaq: DHACU)

Other Transactions:

  • Represented Kratos Defense & Security Solutions, Inc. (Nasdaq: KTOS) on $575 million follow-on offering
  • Represented LKQ Corp. (Nasdaq: LKQ) in a 144A offering of senior unsecured notes in the aggregate principal amount of $1.4 billion

  • Represented Majesco (formerly listed on Nasdaq under the symbol MJCO) in sale to private equity firm for $729 million
