Nazia Khan represents underwriters and issuers in public and private corporate finance transactions. Her experience also encompasses public company mergers and acquisitions, including reverse mergers and de-SPACs.
Nazia has public and private corporate finance experience across a range of transactions including:
- Initial public offerings (including SPAC IPOs)
- Shelf offerings
- Registered direct offerings
- Private placements (including PIPEs)
- Secondary market purchases
- Other securities offerings
As co-chair of Sheppard’s Canada Desk, Nazia leads a team that provides comprehensive cross-border legal services to Canadian-based clients across a broad spectrum of industries. She has experience leading foreign issuers and investment banks in a range of public and private financings, including financings under the U.S.-Canada Multijurisdictional Disclosure System (MJDS), as well as Rule 144A and Regulation S offerings and other U.S.-foreign private placements.
Nazia also counsels U.S. and foreign issuers on corporate governance matters, including reporting obligations with respect to the Securities and Exchange Commission, the New York Stock Exchange, the Nasdaq Stock Market, FINRA and state securities commissions. Furthermore, she assists foreign issuers with securities quoted on the OTCQX and OTCQB with matters related to Principal American Liaisons.
Nazia represents issuers in various industries, including, but not limited to, life sciences, healthcare, oil and gas, mining, technology, artificial intelligence, cannabis, and food and beverage.
