Michael O’Brien helps developers, sponsors and lenders structure and finance renewable energy and other capital-intensive projects by aligning financing structures, tax considerations and market expectations so transactions can be executed and funded. He also works alongside asset managers and financial intermediaries in the utilization of structured financial products to enhance investment yields and hedge exposure to market volatility.
With more than 30 years of experience in financial transactions, Michael represents sponsors and capital providers in complex financings, with a particular focus on the development, construction and operation of renewable energy projects. His work centers on debt financings for projects, working closely with developers, banks and investors from the capital markets to structure transactions that are brought to market and closed—quickly and efficiently. He also works with these clients on ways to hedge the market risks to which these projects and financings are subject.
In tandem with Sheppard’s tax team, Michael advises clients on how to structure projects to qualify for federal income tax credits and attract tax equity investment, translating technical requirements into approaches that meet market requirements.
In a related area, Michael also advises financial institutions, intermediaries and end users on derivatives and structured products transactions, including arrangements used to manage volatility in interest rates, power prices, foreign currency and other commodities and to enhance yields. This work often intersects with project financings, where pricing and revenue certainty are essential to securing capital.
Drawing on decades of experience across multiple asset classes, Michael continues to advise on equipment financings and leasing transactions, particularly where specialized structuring or tax considerations are involved, and he is frequently called upon for matters requiring that depth of experience.
