Sheppard’s Healthcare team served as U.S. transactional counsel to Canada-based Bios Wellness Clinics in its acquisitions of Sonata Aesthetics in the Denver area, and Dr. Shel Wellness & Aesthetics and Elite Doc Health & Beauty, both in Houston. The transactions bring Bios to four U.S. clinic acquisitions in four months, underscoring the company’s rapid expansion across North America.
Bios Wellness Clinics is a medical aesthetics and wellness platform focused on building North America’s premier network for complementary and alternative medicine. Through its growing network, Bios aims to redefine excellence in multidisciplinary care by integrating leading clinics, supporting local practitioners and advancing a trusted brand centered on beauty, health and wellness.
The acquisitions follow Bios’ acquisition of Denver-based Gleam Medical Spa in July 2026, its first U.S. clinic acquisition, on which Sheppard also advised. Bios added Sonata Aesthetics in September 2026, establishing its second clinic in the Denver area. The acquisitions of Dr. Shel Wellness & Aesthetics and Elite Doc Health & Beauty expand Bios’ footprint into Houston, with Elite Doc marking the company’s fourth U.S. acquisition and second Houston clinic. Together, the transactions build Bios’ presence in two U.S. markets as it pursues its broader acquisition strategy.
