- Jurisdiction of the SEC over securities and exemptions from registration as a security recognized under the Securities Act of 1933
- Gain insight into the current state of the structured finance market, including structuring techniques and transaction features
- Assess securitized products, including the impact on CLOs of the SEC’s private fund rule and the conflicts of interest rules on asset-backed securities transactions
- Extrapolate lessons from recent regulatory and legislative developments
