Overview

Scott Stern represents lenders in the origination and restructuring of commercial real estate loan transactions. As co-leader of the national Real Estate, Energy, Land Use & Environmental practice group, he brings more than 25 years of experience advising both lenders and borrowers, solving problems and getting deals done nationwide.

Originations involving a wide variety of financing structures—acquisition, bridge, construction, and permanent financing—are a core part of Scott’s practice. He advises both institutional lenders and other debt-providers, including private capital and debt, hedge and opportunity funds.

Scott also represents lenders in mezzanine loans, preferred equity transactions and other forms of secured lending. These matters span a range of asset types, including vacant land, condominium buildings, parking garages, shopping centers, mixed-use buildings, industrial warehouses, office buildings and hotels.

Work on syndicated, agented, and participated loan transactions is another key focus. Scott advises on revolving credit facilities, swap agreements, intercreditor and co-lender agreements, and other structured finance transactions.

Clients turn to Scott for insight during market downturns and distressed situations. His experience includes loan workouts and restructures, loan acquisitions and dispositions, deed-in-lieu transactions, debt-for-equity swaps and other creative resolutions for troubled loans.

In addition to representing lenders, Scott counsels owners and developers in the acquisition, development, financing, and sale of real estate, as well as in joint venture transactions.

In his free time, Scott enjoys cooking and cheering on the New York Mets.

Experience

Recent representative transactions include representation of:

  • An institutional lender in connection with a US$200 million acquisition and construction loan involving the conversion of a hotel under a ground lease in New York, New York to residential condominiums. 
  • An owner-developer in connection with a US$500 million mortgage and mezzanine loan secured by a portfolio of properties in New York. 
  • An institutional lender in the sale of a US$350 million portfolio of loans secured by real estate across the United States. 
  • An institutional lender in connection with a US$100 million acquisition loan for a development site in lower Manhattan. 
  • An institutional lender in connection with the restructure of a US$230 million mortgage loan involving properties located across the Midwest. 
  • An institutional lender in connection with a US$350 million construction loan for a condominium project in Lower Manhattan.
