Overview

Rabia is a seasoned real estate attorney at Sheppard who serves as lead counsel on high-value, complex transactions nationwide. She led the successful closing of more than $4 billion in transactions last year alone, advising investors, developers and national operators across the United States.

She represents publicly traded companies, institutional real estate platforms and private investors in the acquisition, disposition, leasing and strategic management of assets across all major asset classes, including retail, office, industrial, storage and multifamily properties. Her work regularly includes portfolio transactions, sale-leasebacks, development deals, management agreements and complex leasing arrangements. Clients rely on her not only to execute transactions, but to anticipate risk, preserve leverage and maintain disciplined, efficient deal execution aligned with long-term investment strategy.

Rabia is a member of the firm’s Real Estate, Energy, Land Use & Environmental Practice Group and its Corporate, Real Estate and Finance Team (CRAFT), as well as the Portfolio Transactions and Multifamily Housing teams. She has been recognized as a Rising Star by Super Lawyers and as a Top Young Lawyer by Los Angeles Magazine from 2020 through 2024.

She is active in numerous industry and professional organizations, including Commercial Real Estate Women (CREW-OC Programs Committee), NAIOP, the National Asian Pacific American Bar Association (Real Estate Committee), the National Multifamily Housing Council (Advisory Committee), the South Asian Bar Association of Southern California (Board Member), the Muslim Bar Association of Southern California (President and Board Member) and the National Association of Muslim Lawyers (Board Member).

Rabia maintains a strong commitment to pro bono service. She serves as pro bono counsel to the Trauma Resource Institute, an international nonprofit focused on trauma-informed resiliency education, and works with the Innocence Project and indigent asylum seekers. Her dedication to public service builds on her law school experience successfully representing a Vietnamese refugee in removal proceedings and graduating with recognition from the King Hall Public Service Program.

Public Storage (NYSE: PSA)

  • Represented Public Storage in connection with its $2.2 billion acquisition of the Simply Self Storage portfolio from Blackstone Real Estate Income Trust (BREIT).
  • Represented Public Storage in connection with the $1.35 billion acquisition and due diligence of a 144-property self-storage portfolio spanning multiple U.S. states.

Realty Income Corporation (NYSE: O)

  • Represented Realty Income in its $1.5 billion acquisition of 415 single-tenant convenience store and gas station properties located across 13 states, representing approximately 14% of the REIT’s annualized contractual rent at closing.
  • Represented Realty Income in the restructuring of 132 leased sites following the Zip’s Car Wash bankruptcy, involving coordination across a nationwide operating portfolio.

Terreno Realty Corporation (NYSE: TRNO)

  • Represented Terreno in connection with its $365 million acquisition of a 28-building, 1.2 million-square-foot industrial portfolio located across New York City, Northern New Jersey, the San Francisco Bay Area and Los Angeles.

Fortune 20 Energy Company

  • Ongoing representation in complex real estate matters, including portfolio strategy, leasing, and infrastructure-related transactions requiring coordination across environmental, land use and transactional disciplines.

Quixote Studios – $360 Million Sale to Hudson Pacific Properties

  • Represented Quixote Studios’ in connection with its $360 million sale to Hudson Pacific Properties.

Industrial Transactions

CalPortland Company

  • Represented CalPortland in the $160 million acquisition of Grimes Rock and State Ready Mix from Vulcan Materials Company (NYSE: VMC), involving multi-site aggregates and ready-mix assets.
  • Represented CalPortland in connection with complex mining lease transactions.

Portfolio, Private Equity & Platform Representation

Private Equity Real Estate Platform – $678 Million Portfolio Sale

  • Represented a real estate investment and management firm through acquisitions of medical office buildings, life science facilities and surgery centers nationwide, as well as a $678 million portfolio disposition executed during the COVID-19 pandemic.

Manufactured Housing & RV Community Platform – $500+ Million in Acquisitions

  • Represented a multi-park recreational vehicle and manufactured housing platform in financed acquisitions exceeding $500 million in partnership with institutional joint venture capital partners.

Institutional Retail Center Acquisition – $128 Million

  • Represented an institutional investor in one of the largest retail center acquisitions of the year in Virginia, involving a $128 million purchase of a 200,000+ square-foot multi-tenant retail asset.

Sale-Leasebacks

  • Represented various private equity funds, real estate investment firms and national retail operators in connection with sale-leaseback transactions involving various asset types including industrial and retail properties.

Real Estate Investors – Multi-Million Multifamily Dispositions

  • Represented various real estate investment firms in the sale of multi-million dollar multifamily apartment communities across the United States.

National Retail, Net-Lease & Operating Company Representation

Publicly Traded Petroleum Company – Ongoing Platform Counsel

  • Serve as real estate counsel across its national retail and surplus property portfolio, advising on acquisitions, dispositions, ground leases, CC&Rs, easements, development matters, and property management issues.

Retail Chain Grocers – Platform Representation

  • Represented national grocery operators in acquisitions, dispositions, leasing, subleasing, environmental matters and title resolution across multi-site portfolios.

Fast-Food Franchise Platform

  • Represented a multi-unit franchisee operating more than 30 restaurant locations in portfolio leasing and expansion matters.

  • Represent multiple real estate investment firms in the development, acquisition and disposition of large-scale apartment communities across the United States.
