Overview

Matt McCalip is a corporate lawyer who focuses his practice on middle market mergers and acquisitions for companies in the healthcare, life sciences, software and technology, business and professional services, retail, manufacturing and media industries. The co-leader of the firm’s M&A team, he also advises on corporate structuring, contracting and governance matters.

Representing private and public companies as well as private equity sponsors and their portfolio companies, Matt advises on a wide range of transactions including asset and stock acquisitions, divestitures, mergers, joint ventures and partnerships, and growth equity investments. His clients include both early-stage companies and multinational corporations.

Matt regularly advises on deals involving home care, home health and hospice providers, behavioral health groups, dental organizations and other healthcare providers throughout the United States.

Outside of the healthcare sector, Matt advises as buy-side and sell-side counsel on a variety of transactions in the software and life sciences sectors, including platform acquisitions by private equity sponsors and add-on transactions for their portfolio companies. He has advised on a significant number of public company acquisitions and cross-border deals involving companies in Europe, the UK, Australia, Canada and India. Matt often serves as outside general counsel to clients, helping resolve issues that arise in their day-to-day operations.
