Overview

Lindsay H. Ferguson advises public and private companies nationwide on high-stakes corporate transactions. She is co-leader of the firm’s Food and Beverage team and managing partner of the Dallas office.

Representing companies of all sizes, Lindsay advises on transactions for companies in the food and beverage, technology, manufacturing, medical devices and healthcare sectors, among others. In addition to mergers and acquisitions, she handles leveraged buyouts, equity and debt investments, capital markets transactions, joint ventures and commercial agreements.

Lindsay counsels private equity sponsors on their acquisitions and dispositions and represents their portfolio companies throughout the investment lifecycle, including in add-on acquisitions, recapitalizations, reorganizations, exit preparation, corporate governance and day-to-day commercial matters.

She also advises public and private companies on securities offerings and compliance. Her work includes representing issuers in debt and equity offerings, IPOs, spin-offs and reorganizations. She helps publicly traded companies navigate SEC and stock exchange regulations, reporting obligations and governance issues.

Lindsay serves as outside general counsel to many of her clients, helping them identify operational and organizational challenges and bringing in subject-matter experts to address specific legal needs. Her ability to spot issues across legal disciplines enables her to help clients manage risk as they pursue their business objectives.

  • Represented Cash America International, Inc. in its $2.4 billion merger of equals with First Cash Financial Services, Inc.
  • Represented General Motors Financial Company, Inc. in multibillion-dollar SEC registered offerings and Rule 144A offering of senior notes.
  • Represented Cash America International, Inc. in connection with its 2014 spin-off of Enova International, Inc. to its shareholders.
  • Represented AmeriCredit Corp., a publicly traded NYSE corporation, in its $3.5 billion sale to General Motors.
