John Golembesky

Overview

John Golembesky is a healthcare transactional lawyer with more than 25 years of experience advising physician groups, health systems, management service organizations, ambulatory surgery centers and other healthcare services organizations on complex business transactions and strategic relationships. His practice spans affiliations, joint ventures, mergers and acquisitions, and other alignment and growth initiatives across the provider spectrum.

John regularly advises clients on structuring and executing physician-health system affiliations, integrated delivery system arrangements, ambulatory surgery center and other joint ventures. He works closely with physician organizations and health systems to design governance, operational and compensation frameworks that support coordinated care, operational alignment and long-term sustainability. He also helps navigate issues related to the corporate practice of medicine, fraud and abuse, reimbursement and other regulatory matters.

In addition to alignment work, John represents private equity sponsors and healthcare platforms in acquisition and growth strategies, including platform investments, add-on acquisitions and ongoing operational legal matters. He brings a practical, industry-informed perspective to these transactions, helping clients balance regulatory compliance, commercial objectives and physician alignment.

John also serves as outside general counsel to many large multispecialty and single-specialty medical groups, counseling on physician contracting and compensation, corporate governance, regulatory compliance, peer review and fair hearing processes, and sensitive employment and credentialing matters. He frequently advises clients on developing and documenting complex physician compensation models and incentive arrangements, including those tied to value-based care and quality initiatives.

  • Currently representing a 100+ physician multi-specialty medical group in Northern California in renegotiating its professional services agreement and compensation methodology with a statewide healthcare system.
  • Represented a national home health and hospice provider in its acquisition of the home health and hospice operations of provider in the southeastern United States.
  • Represented a California-based private equity firm in its acquisition of a large orthopedic practice in Florida.
  • Represented a Medicare Advantage-focused physician practice in its affiliation with a Louisiana hospital district.
