Overview

Jenny Park Garner advises private equity funds, REITs, developers, real estate management companies and financial institutions in commercial real estate finance and other complex financing transactions. She helps clients structure, negotiate and document loans that support acquisitions, development projects, refinancings and ongoing business operations.

Representing both borrowers and lenders in a wide range of commercial lending matters, Jenny handles senior and mezzanine financings, construction loans, syndicated credit facilities, CMBS loans, defeasance transactions and agency loans involving Freddie Mac and Fannie Mae programs. Her experience spans multifamily, mixed-use, hospitality, retail, office, manufacturing and storage projects throughout the United States.

Drawing on more than two decades of finance experience, Jenny works closely with clients to negotiate practical loan terms, align financing documents with business objectives and anticipate issues that may arise over the life of a transaction. Clients value her ability to navigate complex loan structures while balancing legal, operational and business considerations.

Jenny’s earlier experience in bankruptcy, workouts and enforcement matters continues to inform her finance practice today. Understanding how financing arrangements can perform under stress allows her to advise clients on risk mitigation, loan modifications, defaults and other challenged situations with a practical and commercially focused perspective.

Representative Matters

Real Estate Finance

  • Represented real estate company as borrower on a credit facility of $150 million secured by a commercial project in San Diego, California.
  • Represented real estate development firm as borrower on a syndicated construction facility of $137 million secured by a mixed use multifamily and retail project in San Diego, California.
  • Represented real estate firm as borrower on Fannie Mae loan of $280 million secured by a multifamily project in New York.
  • Represented REIT as borrower on Freddie Mac loan of $87 million secured by a multifamily project in Maryland.
  • Represented public REIT as borrower in the negotiation and documentation of a Fannie Mae credit facility of $620 million secured by multiple properties in California, Washington and Arizona.

Commercial Lending and Other Transactions

  • Represented agent bank in $55 million revolving credit facility secured by operating company’s personal property.
  • Represented agent bank in $100 million senior credit facility secured by personal property and stock pledges in borrower's domestic and foreign subsidiaries.
  • Represented finance company in $95 million loan, with multiple tranches, secured by an office building complex in California.
  • Represented finance company in equity investment in excess of $200 million in a joint venture with an unaffiliated party, including due diligence review of 52 office parks located in California.
  • Represented REIT as lender on $15 million term loan and $4.5 million mezzanine loan secured by real property and related personal property in California.

Workouts and Creditor's Rights

  • Represented agent bank in workout and modification of defaulted $50 million line of credit secured by personal property and stock pledges.
  • Represented bank in the mixed collateral foreclosure of real estate and related personal property located in Sacramento County, California. 
  • Represented agent bank in the workout, bankruptcy, enforcement of creditors' rights and lien priority litigation involving multiple loans made to a large residential home builder with partially completed housing projects in California. 
  • Represented lender in successfully settling lawsuit against guarantor for breach of guaranty of a defaulted $7.5 million loan, after attachment of guarantor's real property. 
  • Represented public REIT as lender and investor in the documentation and workout of a mezzanine loan and equity investment made to finance a multi-use development project in California.
