Nioura Ghazni was named to the Daily Journal’s 2026 list of “Top Women Lawyers” in California. The annual accolade recognizes the women lawyers shaping California’s legal landscape.
Ghazni was noted for representing clients in some of the most complex M&A healthcare work in California and throughout the country. She served as lead transaction counsel to Prospect Medical Holdings during one of the largest bankruptcy cases of 2025, leading a multi-office healthcare team through simultaneous transactions across several states. This included the $708 million sale of Prospect's managed care physician business to Astrana Health, a $50.3 million bankruptcy auction for Prospect’s ambulatory surgery and imaging centers and the sale of hospital assets in Rhode Island, California and Connecticut.
“A key challenge was that assets and operations were deeply intermingled, which made a ‘clean’ separation difficult,” Ghazni said. “I worked strategically to identify practical carve-outs, sequence steps to reduce execution risk, and craft documentation that allowed the parties to unwind and transfer assets in a way that was both commercially workable and legally defensible in the bankruptcy context.”
