Michael Malfettone

Overview

Michael Malfettone counsels entities across the energy transition economy, working at the junction of private equity and sustainable infrastructure to match capital sources and deployment strategies to business goals and shape transaction frameworks. He helps clients evaluate pathways for deals, surface opportunities and design bespoke structures that advance growth and investment objectives.

The core of Michael’s work spans corporate acquisitions, growth capital and control equity investments, project M&A, joint ventures and hybrid equity financings. Engagements range from infrastructure funds deploying capital through various investment strategies, to developers acquiring renewable portfolios, to clean technology platforms, equipment manufacturers and infrastructure service providers seeking scale through business expansion or strategic investment.

Clients often turn to Michael with their most complex transactions, relying on his industry expertise, deep understanding of their business and experience with conceptualizing, negotiating and documenting myriad custom-made and first-of-their-kind deal structures.

Michael’s broad work across the decarbonization ecosystem—on a wide variety of deals involving a range of stakeholders—gives him a grounded understanding of emerging business models, investor priorities and evolving capital strategies in the market. That deep experience supports his work as a relationship-driven connector and occasional deal originator, enabling him to anticipate pressure points and guide clients through transactions involving many of the leading and emerging technologies in the sector—from distributed generation, storage and other renewable and energy transition platforms, to EV and digital infrastructure, energy efficiency and management, software and service solutions and a range of other next generation infrastructure strategies.

Known for thoughtful analysis and collaborative problem-solving, Michael works closely with clients to refine strategy, evaluate deal constructs and navigate inflection points in negotiation. His approach focuses on clarifying structural choices, advising on market trends, evaluating tradeoffs and positioning clients to secure durable strategic outcomes and solidifying long-term partnerships.
 

Experience

Energy and Infrastructure Private Equity and Corporate Transactions

  • Led a consortium of established solar energy investors, including GDEV Management, Sunstone Credit, IGS Ventures and others, with its secured lender, Cross River Bank, in the Chapter 11 take-private acquisition of Sunlight Financial Holdings.
  • Led the majority acquisition of Southern Current, a solar and storage development company with over 150 projects exceeding 10 GW.
  • Represented a private equity fund in the Chapter 11 acquisition of distributed generation business and project pipeline.
  • Led the restructuring, buyout and merger of Clear Energy Renewables and Dichotomy Power.
  • Advised a private equity firm on multiple mezzanine debt facilities for developers and owner-operators of hydroelectric, solar and battery storage assets nationwide.
  • Represented Khasma Capital in multiple preferred equity investments in waste-to-value, biocarbon, hydrogen-powered marine vessels and oil re-refinery companies.
  • Advised an infrastructure fund in the potential acquisition of a solar and storage management software platform.
  • Represented a private equity investor in negotiating a joint venture with a developer to monetize a distributed generation portfolio.
  • Represented a private equity investor in the acquisition of a construction services company for utility, telecom and EV infrastructure.
  • Advised private equity portfolio company in proposed acquisition and conversion of petroleum hydrocarbon refinery to renewable diesel facility.
  • Advised an energy transition fund in the potential acquisition of a residential solar business.
  • Represented GDEV Management in multiple private equity investments, including: 
    • $100 million co-investment in Lightshift Energy (formerly Delorean Power)
    • Strategic equity investment in Telyon, a Connecticut-based renewable energy developer
    • $50 million financing round of Nexus PMG
    • $35 million preferred equity investment in Peak Power
    • Preferred equity investment in Revolv Global Inc.
    • Strategic equity investment in Sunstone Credit
    • Strategic investment in Swell Energy, a California-based residential energy storage developer
    • Growth investment in Renew Energy Partners, a national distributed generation and microgrid company
    • Equity investment in Sunrock Distributed Generation, an asset aggregation platform
    • Equity investment in Noria Energy, a floating and behind-the-meter solar developer
    • Equity investment in Commonwealth Energy Partners, a Virginia-based solar and storage developer
    • Debt commitment and preferred equity investment in Clear Energy Renewables
    • Equity investment in Dichotomy Power, a hydroelectric operator
    • Strategic investment in a C&I technology-based financing platform
    • Investment in energy infrastructure engineering, financing and operational services company
    • Investment in utility-scale solar and energy storage developers 

Energy Project M&A and Finance

  • Represented Ellomay Capital in joint development, commercial contracting, financing and tax credit transfer for a Texas solar project portfolio.
  • Advised a renewable energy company in the acquisition of a 130 MW battery storage facility in Washington.
  • Represented Pine Gate Renewables in more than a dozen M&A transactions to acquire utility-scale solar and battery storage projects totaling over 5 GW throughout the U.S.
  • Advised Kelvin on a partnership with ClearGen LLC and the hybrid tax equity financing of up to $100 million in energy efficiency projects.
  • Represented an international renewable energy company in the $1 billion acquisition of a portfolio of operating renewable projects totaling over 800 MW. 
  • Advised a renewable energy company on the acquisition of a 480 MW solar portfolio in Alabama and a 780 MW solar project in Texas.
  • Represented IPP in a joint venture to greenfield, develop and construct a wind project portfolio throughout the U.S.
  • Advised a renewable energy developer on the acquisition of a 180 MW wind project in Virginia.
  • Represented a company in the sale of a 225 MW wind project in Texas.
  • Advised a renewable company on the acquisition of a 252 MW solar project and sale of a 225 MW wind project in Texas.
  • Represented Nordex SE in the sale of a 114 MW wind project in Honduras to Total Eren.
  • Advised an investor in a joint venture and tax equity financing of a 130 MW solar portfolio under development in Texas.
  • Represented IPP in multiple transactions to acquire portfolios of solar projects in South Carolina, Alabama, North Carolina and Georgia, and wind projects in Texas and Illinois.
  • Represented a utility company in the acquisition of a 300 MW wind project in Missouri.
  • Advised on sale of combined 600 MW battery storage facilities under development in Texas.
  • Represented a developer in a consulting and development services agreement for utility-scale wind, solar and battery storage assets across the U.S.
  • Advised an international renewables company in a joint venture with a U.S. developer for solar projects throughout the U.S.
  • Advised a hydroelectric company on the acquisition of a portfolio in Maine.
  • Represented IPP in the acquisition of 25 C&I solar facilities in New York and New Jersey.
