Amy Dilcher

Overview

Amy Dilcher focuses her practice in two core areas: the regulatory aspects of healthcare mergers, acquisitions, and strategic transactions—particularly post-transaction integration and operational alignment—and serving as outside general counsel to healthcare organizations.

With more than 25 years of industry experience, including service as general counsel at multiple healthcare entities and a clinical background as an oncology nurse, Amy brings executive judgment and clinical insight to clients operating in complex, highly regulated healthcare environments.

Amy advises hospitals, physician groups and private equity-backed platforms on the regulatory dimensions of transactions—from diligence through closing and beyond. She structures compliant affiliations and acquisitions, assesses regulatory risk and designs governance and compliance frameworks that support long-term success.

A defining feature of her practice is post-transaction integration. Amy aligns compliance programs, policies, contracting structures and operational processes across newly combined entities. By bridging business strategy and regulatory requirements, she helps leadership teams move from transaction execution to sustainable performance with clarity and confidence.

As outside general counsel, Amy advises executive teams and boards on regulatory compliance, enterprise risk management and strategic growth initiatives. Drawing on her experience as chief legal officer and general counsel for for-profit and nonprofit hospitals and private equity-backed healthcare organizations, she delivers practical, business-oriented guidance grounded in real-world operational leadership. Amy also counsels clients on strengthening internal legal and compliance functions, applying process improvement methodologies to increase efficiency and control costs.

Amy serves as co-chair of the firm’s Women in Healthcare Leadership Collaborative (WHLC).

Outside the office, Amy cheers on her teenage twins in their athletic pursuits and relaxes in the company of her family and copious canines.

    • Managed due diligence and regulatory resolution for the $220M acquisition of a community hospital.*

    • Guided transactions for a sponsor-backed physician management company including over $40M in affiliation arrangements across new states within nine months, and a transformative combination transaction creating the largest specialty management services organization in the U.S.*

  • Interim & Board Counsel Roles
    • Served as interim general counsel for a $2B publicly traded management service organization driving value-based healthcare with primary care physicians.
    • Acted as interim general counsel for an outpatient clinic services organization with 30+ locations, managing all aspects of post-closing legal and compliance integration.

    • Collaborated with medical staff leadership at a non-profit community hospital to implement key bylaw revisions, including expanded suspension authority, consolidated membership categories, and refined clinical privileges to enhance physician engagement, specialty coverage, and coordination between the Medical Executive Committee and Board of Directors.*

    • Implemented streamlined legal intake and tracking systems for a physician management company, reducing contract turnaround times for physician employment agreements by 93%.*
